Company Secretary
Position Overview
We are looking for an experienced Company Secretary to provide comprehensive secretarial and administrative support to our Board of Directors and executive management team. The successful candidate will be responsible for ensuring compliance with statutory and regulatory requirements while facilitating effective corporate governance practices.
Key Responsibilities
Board and Committee Support:
- Prepare agendas, board papers, and minutes for Board meetings and committee meetings
- Coordinate Board meeting logistics and ensure all directors receive timely and accurate information
- Maintain statutory books and records in accordance with regulatory requirements
- Facilitate communication between the Board, management, and shareholders
Compliance and Governance:
- Ensure compliance with company law, regulations, and listing requirements
- Monitor changes in relevant legislation and communicate impact to management
- Maintain corporate governance policies and procedures
- Coordinate annual general meetings and other shareholder meetings
- Manage regulatory filings and submissions to relevant authorities
Administrative Excellence:
- Provide high-level administrative support to senior executives
- Manage confidential information with discretion and professionalism
- Coordinate with external advisors including auditors, lawyers, and consultants
- Maintain accurate corporate records and documentation systems
Essential Requirements
Qualifications:
- Bachelors degree in Law, Business Administration, or related field
- Professional qualification as a Chartered Secretary (ICSA) or equivalent preferred
- Minimum 3-5 years of experience in a company secretarial role
- Strong knowledge of corporate law and governance principles
Skills and Competencies:
- Excellent written and verbal communication skills
- Strong attention to detail and organizational abilities
- Proficiency in Microsoft Office Suite and board portal software
- Ability to work under pressure and meet strict deadlines
- High level of integrity and ability to handle confidential information
- Strong interpersonal skills and ability to work with senior stakeholders
Preferred Qualifications
- Knowledge of regulatory frameworks and compliance requirements
- Previous experience in group company structures
- Additional qualifications in governance or risk management
